Terms of Service
legalObjective
To establish the guidelines, responsibilities, and quality standards under which administrative, financial, accounting, legal, and human resources management services are provided, integrating process automation as the core of operations.
Scope of the Technological Model
Our services are executed through automated workflows within an ERP (Enterprise Resource Planning) system. This implies:
- Real-time synchronization: Data is processed as it is generated.
- Reduced manual intervention: We minimize the operational workload to focus on strategic analysis.
- Full traceability: Every action is recorded with a timestamp and user in the system.

Client Responsibilities
For automation to be effective, the client commits to:
1. Data Integrity: Providing accurate information in the required digital formats.
2. Access: Ensuring the necessary permissions in the ERP and complementary tools.
3. Validation: Reviewing automatically generated reports and information to ensure they accurately reflect the business.
Service Level Agreements (SLAs)
- System Availability: We guarantee that automated workflows will be operational 99.9% of the time.
- Technical Support: Incidents related to automation errors will be addressed within a maximum of 48 business hours.
- Updates: We handle adjusting automations to comply with legal or tax changes at no additional cost (provided they are within the scope of the contract).
Confidentiality and Information Security
Since we operate within an ERP system with sensitive data:
- Encryption: All data is handled under industry-standard security protocols.
- Restricted Access: Only personnel authorized under Non-Disclosure Agreements (NDAs) will have access to the client's environments.
- Data Ownership: The client is the sole owner of the information; our company is merely the technological processor.
Continuous Improvement
Our policy includes a quarterly review of processes. If we identify a recurring manual task that can be automated within the ERP system, we will present an optimization proposal to improve the client's efficiency.
Limitation of Liability and Warranties
Responsibility for Source Data
The Company will not be liable for errors, fines, or inconsistencies arising from incorrect, incomplete, or untimely information provided by the Client. Automation processes information under the "GIGO" (Garbage In, Garbage Out) principle; therefore, the accuracy of the source is the sole responsibility of the user.
Third-Party Infrastructure (ERP) Failures
Since the service is provided on an ERP platform (whether proprietary or from a third party such as SAP, Oracle, Odoo, etc.), the Company is not responsible for:
- ERP provider server outages.
- Errors in the software's codebase that are not dependent on our automation.
- Data loss resulting from critical failures in the hosting provider's cloud.
Responsibility to Regulatory Bodies
The Client acknowledges that ultimate responsibility to government entities (taxes, social security, legal audits) rests with its own legal entity. The Company acts as a technological and operational facilitator, but does not replace the Client's obligation to review, audit, validate, and sign its documents, declarations, financial statements, reports, and other relevant materials.
Limitation of Liability
In the event that an error is proven to be directly attributable to a misconfiguration of the automation by our Company, the maximum financial liability will be limited to the equivalent of three (3) months of the monthly service fee, excluding indirect damages or lost profits.
Intellectual Property of the Automation Systems
- Scripts and Flows: The algorithms, scripts, and flow configurations created by the Company to optimize the ERP are the intellectual property of the Company, granting the Client a license to use them for the duration of the contract.
- Customizations: Any custom development requested and fully paid for by the Client may be considered the Client's property, subject to prior written agreement.
Force Majeure and Cybersecurity
It will not be considered a breach of contract if the interruption of the automated service is due to global-scale cyberattacks, natural disasters, or massive internet infrastructure outages that prevent connection to the ERP.
